2009 Annual Meeting

Granite Construction’s 2009 Annual Meeting of Shareholders will be held on May 15, 2009, at 10:30 a.m. PT at the Embassy Suites located at 1441 Canyon Del Rey, Seaside, California. If you would like to attend the meeting in person, see below.

This year we are taking advantage of the Notice and Access rules issued by the Securities and Exchange Commission, which allow us to provide proxy materials to you via the Internet. This enables us to conserve natural resources and reduce the costs of printing and distributing the proxy materials. If You Plan to Attend the Annual Meeting

Each shareholder should be prepared to present both of the following:

• Valid photo identification, such as a driver’s license or passport.
  
  
• Proof of ownership: If you received a Notice of Internet Availability of Proxy Materials, please bring that Notice with you.  If your shares are held in the name of a broker, trust, bank, or other nominee, you will need to bring a proxy or letter from the broker, trust, bank, or nominee that confirms you are the beneficial owner of those shares.

The record date for the 2009 Annual Meeting of Shareholders is March 20, 2009. This means that if you owned Granite stock at the close of business on that date, you are entitled to receive notice of the meeting and to vote at the meeting as well as to be advised of any adjournments or postponements of the meeting.
